Scope of the licence

Licensees receive the right to use the platforms in their own business operations for the term of their agreement. No reproduction, distribution, modification or sublicensing rights are granted. Ownership of the software and all intellectual property in it remains with the Company at all times.

03Fields of application

Professional services, delivered from Cyprus.

Alongside its licensing business, the Company provides professional services to its licensees. These services are delivered remotely by the Company's own personnel from its offices in Nicosia, Cyprus. They are scoped, priced and invoiced separately from licence fees.

Implementation & integration

Onboarding, configuration, data migration and integration with licensee systems, payment providers and postal service providers via API. Delivered as scoped projects or on a time-and-materials basis.

Hosting & operations

Operation of the platform infrastructure, monitoring, capacity management and backup. Charged as a separate recurring operations fee, independent of licence fees.

Support & maintenance

Second and third level support with agreed response and resolution times. Incident handling, root cause analysis and release support.

Custom development

Licensee-specific modules and adaptations, specified and quoted individually. Intellectual property in all developments, including customer-specific modules, remains with the Company and is made available to the licensee under its licence.

All services are performed from Cyprus. The Company maintains no establishment, office or permanent personnel outside the Republic of Cyprus.

Built, maintained and governed in Nicosia.

All development, enhancement, maintenance, protection and exploitation of the Company's software is carried out by the Company's own personnel at its offices in Nicosia, Cyprus.

05Commercial model

Two revenue streams, contracted separately.

The commercial framework is designed for predictability, continuity and direct accountability between the Company and each licensee. There are no resellers, no distribution layers and no third-party intermediaries in the licensing chain.

Multi-year licensing

Licensing agreements are entered into for an initial term of twenty-four months and renew automatically thereafter, subject to a ninety-day notice period prior to expiry.

Each agreement provides for a contractually guaranteed minimum royalty floor, supplemented by a usage-based component linked to the licensee's operational volumes.
